What this engagement is
The AI-Native Shift is a capability-transfer engagement. The goal is that your organization builds the in-house capability to operate AI-native business processes without ongoing dependence on us. The anchor framing: “three months down the road and you just don't need me anymore.”
Phase 1 is the core engagement. Phases 2 and 3 are optional extensions available at your election if you determine additional support advances your capability transfer after Phase 1 concludes.
What Phase 1 includes
- Cohort kickoff session — a facilitated working session with your leadership team to establish your current-state baseline, transformation objectives, and the in-cohort cadence.
- Methodology grounding — structured introduction to the Value-First Operating Framework, including the Value Path, the Twelve Complexity Traps, the Five-Layer Operating Model, the Four Unified Views, and the Five Core Beliefs.
- Cohort working sessions — recurring facilitated sessions across the Phase 1 engagement period for hands-on practice applying the framework to your actual operating context.
- Compass surface activation — your organization gets access to its per-cohort Compass surface on compass.valuefirstteam.com, including the canvas, walkthrough, library, and Story So Far artifacts.
- Methodology reference materials — you keep copies of the framework materials after Phase 1 ends. You can continue applying the methodology in your organization without coming back to us.
- Phase 1 completion brief — a written capability-state assessment at the end of Phase 1 identifying demonstrated competencies, residual gaps, and our recommendation on whether Phase 2 or Phase 3 engagement is warranted.
Optional extensions
If after Phase 1 you decide additional engagement would advance your capability transfer, you can elect Phase 2. Phase 2 scope and fee are defined by mutual agreement at that time. Phase 3 is available after Phase 2 is complete, same structure. Extension fees are capped (see Fees section).
A note on outcomes
Capability transfer is what we are committed to. The framing above is our sincere operating intention, not a guarantee that your organization will reach a specific capability level by a specific date. How far and how fast depends on your team's engagement, your internal resources, and your organizational readiness. We deliver our best work; we do not control every variable.

The capped extension structure is our commitment to you. Even if Phase 2 or Phase 3 scope grows during delivery, we will not invoice you more than the cap above without a separate written agreement from both of us.
Payment by ACH, wire transfer, or credit card. Phase 1 fees are not refundable except as described in the cancellation section below. Out-of-pocket expenses (travel for in-person sessions if any, third-party software you elect to integrate, custom artwork) are billed at cost only with your prior approval.
Schedule
Phase 1 runs approximately twelve weeks from your start date. The session cadence is established in the kickoff session. Phase 2 and Phase 3 schedules are set at the time of election.
What we need from you
- A primary contact who can make engagement decisions on your organization's behalf.
- Your cohort participants showing up for scheduled working sessions.
- Reasonable context about your operating environment so we can make the engagement relevant (your organizational structure, current tooling, business objectives).
- Honest feedback so we can course-correct if needed.
You are not obligated to share anything you consider confidential or sensitive. Where we need context you'd rather not share, we work with what you give us.
Cancellation
You can cancel at any time with 30 days' written notice. That's always available, no conditions, no explanation required.
What happens when you cancel:
- The engagement ends 30 days after we receive your notice.
- We continue delivering the scheduled engagement during the notice period.
- We keep fees for work already delivered through the cancellation date.
- If Phase 1 has not yet started at the time of cancellation, we refund the Phase 1 fee in full, less any out-of-pocket costs already incurred.
- We have no claim against you for fees beyond what is already due under the current phase.
We can also end the engagement if there is a material breakdown that we cannot resolve together after good-faith effort. We would give you the same 30-day notice in that situation, and the same fee treatment applies.
Your methodology materials
The Value-First methodology, frameworks, and platform are our work. You get a permanent, non-exclusive right to use the reference materials we provide inside your organization — to keep applying the framework, training your team, improving your operations. That right does not require a continuing engagement with us.
That right does not include redistributing the materials outside your organization, selling or sublicensing them, or using them to train AI systems for resale. If you want to offer the methodology to clients as a practitioner, that goes through the Collective.
Anything we build that is specific to your organization (your Compass canvas, your operating model analysis, your walkthroughs) is yours to use freely within your organization on the same terms.
Case studies and attribution
We may reference the existence of our work together in our marketing (for example, “we worked with an organization in [industry] on an AI-Native Shift transformation”). Specific outcomes, metrics, internal information, or your logo require your written approval first. You can withdraw consent to be referenced with 30 days' written notice.
Session recordings
If we record cohort working sessions, the recordings are for internal use within the engagement (your review, our quality improvement). We will not publish or distribute cohort session recordings externally without your express permission for the specific recording.
Confidentiality
We treat your confidential information as confidential. We will not share it with third parties without your consent, except as required by law. “Confidential information” means what you tell us is confidential, or what any reasonable person would understand to be confidential given the context — your customer data, internal financials, trade secrets, strategic plans.
The methodology materials we share with you are ours. We ask you to apply reasonable care to keep them within your organization (for example, not posting them publicly).
Independent contractor
We are an independent contractor. This engagement does not create an employment relationship, agency, partnership, or joint venture between your organization and ours.
